U.S. DoJ Approves HPE’s $14 Billion Acquisition of Juniper Networks with Conditions

28 June 2025 – The U.S. Department of Justice (DoJ) has approved Hewlett Packard Enterprise’s (HPE) $14 billion acquisition of Juniper Networks, following a settlement requiring HPE to divest part of its networking business to preserve market competition.

Under the agreement, HPE must sell its Instant On wireless LAN (WLAN) campus and branch network switching business, including associated assets, intellectual property, research staff, and customer contracts, to a DoJ-approved buyer within 180 days.

Additionally, HPE will license Juniper’s AI Ops for Mist WLAN source code via a competitive auction. The licence will be perpetual, non-exclusive, and may include transitional support and personnel transfers to ensure continued market competition.

The settlement resolves the DoJ’s antitrust lawsuit filed in January, which alleged that the merger would significantly reduce competition in the enterprise wireless networking market. The DoJ noted that HPE and Juniper are the second- and third-largest players in the sector and warned the merger could allow HPE and Cisco to dominate over 70% of the market.

By agreeing to these remedies, HPE avoided a trial scheduled for 9 July.

HPE CEO Antonio Neri welcomed the resolution, stating:

“The combination of HPE Aruba Networking and Juniper Networks will provide customers with a comprehensive portfolio of secure, AI-native networking solutions, and accelerate HPE’s growth across the AI data center, service provider, and cloud segments.”
