EU Investigates Universal Music’s $775M Acquisition of Downtown Music

The European Commission has initiated a formal investigation into Universal Music Group’s (UMG) proposed $775 million acquisition of Downtown Music Holdings, citing potential anti-competitive concerns within the European Union. UMG, the world’s largest music label, announced the acquisition through its Virgin Music Group unit in December 2024, with plans to finalize the deal in the second half of 2025.

Industry Reactions

Independent music organizations have expressed strong opposition to the merger. Helen Smith, Executive Chair of IMPALA, described the acquisition as a “huge market share grab” that would “seriously reduce independent routes to market.” She called on the European Commission to set an international standard by blocking the deal.

Martin Mills, founder of Beggars Group, criticized UMG’s use of the Virgin brand, once synonymous with independent entrepreneurship, as a “cynical use” to achieve “utter dominance and control.”

Noemí Planas, CEO of the Worldwide Independent Network (WIN), argued that the acquisition would lead to “wealth extraction from the independents” and stifle competition. Similarly, Dr. Richard James Burgess MBE, CEO of the American Association of Independent Music (A2IM), warned that the deal would “silence the independent voices that drive innovation and creativity in the music industry.”

Regulatory Precedents

The European Commission has a history of scrutinizing major music industry mergers. In 2012, it approved UMG’s £1.2 billion acquisition of EMI, imposing conditions that required UMG to divest nearly a third of EMI’s revenue-generating assets to maintain competition.

Next Steps

The European Commission has requested an official notification of the deal from UMG, as the company cannot proceed without regulatory approval. UMG has expressed confidence in the deal’s timely closure and its cooperation with the Commission. The investigation is ongoing, and a final decision is expected later this year.
